Terms of Service

1. Acceptance of terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and ‘you’ refers to that organization.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. You may not use the Service if you are barred from doing so under applicable law.

3. Description of the Service

Access Capital provides an AI-powered business operating system that includes vision-grade valuation, live voice strategy with Eden, competitive and market intelligence, fundraising tools, and related features. Features may change, and we may add, modify, or discontinue functionality over time.

4. Accounts and registration

You are responsible for providing accurate information, safeguarding your credentials, and all activity under your account. Notify us promptly of any unauthorized use. We may suspend accounts that appear compromised or that violate these Terms.

5. Subscriptions, billing, and renewals

Paid plans are billed in advance on a recurring monthly or annual basis and renew automatically until cancelled. By subscribing, you authorize us to charge your payment method for each billing cycle. Prices may change with prior notice effective on your next renewal. You can cancel at any time; access continues through the end of the paid period.

6. Free trials

We may offer a free trial. Unless you cancel before the trial ends, we will begin charging your payment method at the end of the trial. Trial availability and length are at our discretion.

7. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Reverse engineer, decompile, or attempt to extract source code or model weights.
• Circumvent usage limits, security, or access controls.
• Upload malware or interfere with the integrity or performance of the Service.
• Use the Service to build a competing product or to scrape or resell outputs.
• Infringe intellectual property or privacy rights of others.

8. AI outputs and no professional advice

The Service uses artificial intelligence to generate valuations, insights, and recommendations. Outputs may be inaccurate or incomplete and are provided for informational purposes only. They do not constitute financial, investment, legal, tax, or other professional advice. You are solely responsible for decisions made using the Service.

9. Intellectual property

The Service, including its software, design, and trademarks, is owned by Access Capital and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

10. Your content

You retain ownership of the content you submit. You grant us a limited license to host, process, and display your content solely to operate and improve the Service for you. You are responsible for ensuring you have the rights to the content you submit.

11. Third-party services

The Service may integrate with third-party products. Your use of those products is governed by their own terms and privacy policies, and we are not responsible for third-party services.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or if we discontinue the Service. Upon termination, your right to use the Service ceases, and certain provisions survive.

13. Disclaimers

THE SERVICE IS PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’ WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCESS CAPITAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Access Capital from claims, damages, and expenses arising out of your use of the Service, your content, or your breach of these Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Delaware, unless a binding arbitration agreement applies.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.
